Terms of Service

Effective date: 23 June 2026 Last updated: 23 June 2026

1. Agreement to these Terms

These Terms of Service ("Terms") govern your access to and use of the Latent shared-camera service, including our website, web app, and related features (the "Service"), provided by Latent ("Latent", "we", "us", "our").

By creating a film, joining a film, taking a photo, making a payment, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Who can use the Service

  • Hosts must be at least 18 years old and able to form a binding contract.
  • Guests must be at least 16 years old to use the camera features. The Service is not directed to children under that age.
  • You are responsible for ensuring your use of the Service is lawful in your location.

3. Accounts

  • Hosts create an account; guests do not. You must provide accurate information and keep your login credentials secure.
  • You are responsible for all activity under your account. Tell us promptly at hello@latent.app if you suspect unauthorised use.
  • We may suspend or close accounts that breach these Terms or that we reasonably believe create risk to the Service or others.

4. How the Service works

A host creates a private photo "film," sets the rules (shot limits, guest limits, timing, filter, and reveal time), and invites guests by QR code or link. Guests join with a display name, take a limited number of photos, and all photos are revealed to that film's participants at the host's chosen time. Features, limits, and pricing may change over time.

5. Host responsibilities (important)

If you create a film, you are responsible for your event and everyone you invite. You represent, warrant, and agree that:

  • You have the right to run the event and to invite your guests to the Service.
  • You will inform your guests that photos taken through the Service are collected, stored, and revealed to the film's participants, and you will obtain any consent required by law from guests and from any identifiable people who appear in photos — including, where relevant, the consent of a parent or guardian for any minor.
  • You will not use the Service for any unlawful event or purpose.
  • You are responsible for moderating your film's content, and for deciding who receives the join link or QR code.

For the personal information within your film, you act as the party that determines why and how that information is collected, and Latent generally acts on your behalf (as described in the Privacy Policy). You agree to indemnify Latent for claims arising from your event, your guests, or your handling of your film (see section 13).

6. Guest use and content

  • You choose a display name (it need not be your real name) and may take up to the host's set number of photos.
  • By taking photos through the Service, you understand they become part of the host's film and will be revealed to that film's participants at the reveal time.
  • You are responsible for the photos you take and must have the right to take and share them.

7. Acceptable use

You must not use the Service to create, upload, share, or capture content or conduct that:

  • is unlawful, infringing, defamatory, harassing, hateful, or threatening;
  • depicts or facilitates the sexual exploitation or abuse of any person, especially any minor (we report such material to the appropriate authorities and remove it);
  • is sexually explicit, or is an intimate image of a person shared without their consent;
  • violates anyone's privacy, publicity, intellectual-property, or other rights;
  • contains malware, or attempts to breach, overload, scrape, reverse-engineer, or circumvent the Service or its security or limits;
  • impersonates others or misrepresents your affiliation.

We may remove content, hide photos, suspend films, and terminate access for suspected breaches, with or without notice.

8. Content ownership and licence

  • You keep ownership of the photos and content you create. Latent claims no ownership of your content.
  • You grant Latent a limited, worldwide, non-exclusive, royalty-free licence to host, store, process, reproduce, and display your content solely to operate, secure, and provide the Service to you and your film's participants, and to make backups. This licence ends when your content is deleted from our active systems.
  • We will not use your event photos for advertising or to promote Latent without your separate, explicit permission.

9. Payments, pricing, and refunds

  • One-time pricing per event. Latent is sold per film based on the guest tier you select. There is no subscription and no recurring charge. Films up to 5 guests are free.
  • Payments are processed by Stripe; your payment is subject to Stripe's terms. We do not store full card details.
  • Prices are shown before you pay and may include or exclude taxes depending on your location; you are responsible for any applicable taxes not collected at checkout.
  • Refunds: because access is delivered immediately, a film is refundable only while no guest has joined it. Once any guest has joined, the purchase is non-refundable, except where a refund is required by law (including, for Australian consumers, the consumer guarantees under the Australian Consumer Law, which are not excluded by these Terms).
  • We may change prices prospectively; changes do not affect films already purchased.

10. Photo availability and retention

Event photos and film content are retained for 12 months after a film is revealed so hosts and guests can view and download them, after which they are deleted from active systems. You are responsible for downloading and saving anything you wish to keep within that period. We are not liable for content lost after the retention period or after deletion you request.

11. Service availability and "as is" nature

  • The Service may change, be interrupted, or be discontinued, and may contain errors. We do not guarantee uninterrupted or error-free operation, or that photos will never be lost.
  • To the maximum extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, express or implied.
  • Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that cannot lawfully be excluded (including under the Australian Consumer Law).

12. Limitation of liability

To the maximum extent permitted by law:

  • Latent is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, goodwill, or memories, arising from or related to the Service.
  • Latent's total aggregate liability for any claim relating to the Service is limited to the greater of (a) the amount you paid us for the relevant film in the 12 months before the claim, or (b) AUD $100.

13. Indemnity

You agree to indemnify and hold harmless Latent and its operators from any claims, damages, losses, and expenses (including reasonable legal fees) arising from: your use of the Service; your event and your guests; content you create or capture; your breach of these Terms; or your violation of any law or any third party's rights.

14. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we handle personal information. Please read it.

15. Termination

  • You may stop using the Service at any time; hosts may delete films from their account.
  • We may suspend or terminate your access if you breach these Terms or to protect the Service or others. Sections that by their nature should survive termination will survive.

16. Changes to the Service and these Terms

We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, where required, give additional notice. Your continued use after changes take effect means you accept them.

17. Governing law and disputes

These Terms are governed by the laws of New South Wales, Australia, and you and Latent submit to the non-exclusive jurisdiction of the courts of New South Wales, without limiting any mandatory consumer-protection rights you have in your own country of residence.

18. General

  • Entire agreement: these Terms and the Privacy Policy are the entire agreement between you and Latent regarding the Service.
  • Severability: if any provision is unenforceable, the rest remains in effect.
  • No waiver: our failure to enforce a provision is not a waiver.
  • Assignment: you may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure: we are not liable for failures caused by events beyond our reasonable control.
